3. User Accounts and Responsibilities

3.1 Account Creation

Promptly notifying us of unauthorized access
Accepting responsibility for all actions under your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services immediately ceases.

4.1 Prohibited Conduct

You agree not to:

Harass, abuse, defame, threaten, or intimidate any person
Engage in any discriminatory or hate-based conduct
Create multiple accounts to evade restrictions or penalties
Attempt to access unauthorized areas or features
Reverse engineer, decompile, or disassemble any part of the Services
Remove or alter any proprietary notices or labels
Transmit viruses, malware, or malicious code
Spam, phish, or engage in social engineering
Collect or track personal information of others without consent
Engage in commercial activities without authorization

4.2 Content Standards

Any content you submit must not:

Violate third-party intellectual property rights
Contain explicit sexual content or nudity
Promote violence, self-harm, or illegal activities
Constitute spam or unsolicited promotional material
Be misleading or fraudulent

5. Intellectual Property Rights

5.1 Company Ownership

All content, features, and functionality of the Services, including but not limited to software code, designs, graphics, text, logos, images, and audio, are the exclusive property of Qiantian or its content suppliers and are protected by international copyright, trademark, and other intellectual property laws.

5.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use, subject to these Terms. This license does not include the right to:

Reproduce, copy, or duplicate content
Modify or create derivative works
Distribute, sell, or license content
Remove proprietary notices
Reverse engineer or extract trade secrets

5.3 User Content License

By submitting content to our Services, you grant Qiantian a worldwide, perpetual, royalty-free license to use, reproduce, modify, and distribute such content.

6. Payment and Billing

6.1 Payment Methods

We accept multiple payment methods including credit cards, debit cards, bank transfers, and digital wallets. All payments are processed through secure third-party payment gateways.

6.2 Billing Terms

Prices are displayed in specified currency and are subject to change with notice
Taxes and applicable fees are your responsibility unless otherwise stated
Billing occurs on the date specified at purchase or subscription initiation
Subscriptions automatically renew unless canceled

6.3 Subscription Management

You can modify or cancel your subscription through your account settings. Cancellation is effective at the end of the current billing period unless otherwise specified. No refunds are provided for partial months or unused portions.

6.4 Refund Policy

Refunds for paid Services are available within 30 days of purchase at our sole discretion. Some digital content or services may not be eligible for refund. For app store purchases (Google Play, Apple App Store), refund policies are governed by the respective app store terms.

7. Warranties and Disclaimers

7.1 Limited Warranty

We warrant that our Services will conform substantially to the description provided and will be performed in a professional manner. This warranty extends for a period of 30 days from purchase or deployment.

7.2 AS-IS Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

7.3 Service Interruption

We do not guarantee uninterrupted, error-free, or secure service. We are not liable for:

Service outages or maintenance periods
Third-party network failures
User device incompatibilities
Force majeure events
Lost or corrupted data

8. Limitation of Liability

8.1 Caps on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Qiantian's total liability shall not exceed the amount you paid for the Services in the 12 months preceding the claim
For free Services, liability is limited to direct damages not exceeding $100
In no case shall we be liable for indirect, incidental, special, or consequential damages

8.2 Excluded Damages

We shall not be liable for:

Loss of profits, revenue, or business opportunities
Loss of data or corruption of databases
Lost business relationships or reputation damage
Emotional distress or punitive damages

9. Indemnification

You agree to indemnify, defend, and hold harmless Qiantian and its officers, directors, employees, and agents from any claims, damages, losses, and expenses, including legal fees, arising from:

Your violation of these Terms
Your use of the Services
Your content or user submissions
Your infringement of third-party rights
Your violation of applicable laws

Our Services may contain links to third-party websites and integrations with third-party services. We are not responsible for:

Content of third-party sites
Security practices of third parties
Third-party policies or terms
Service interruptions from third parties

11. Advertising and Monetization

If unresolved within 30 days, submit to mediation
If mediation fails, dispute proceeds to arbitration or litigation

15.3 Jurisdiction

You consent to exclusive jurisdiction in the courts of Zhengzhou, Henan Province, China for dispute resolution.

16. Modifications to Terms

Qiantian may modify these Terms at any time. Material changes will be provided with reasonable notice (at least 30 days). Your continued use constitutes acceptance of modified Terms. If you disagree with modifications, you may terminate your account.

17. Termination and Survival

17.1 Termination

We may terminate or suspend your account or access to Services at any time for:

Violation of these Terms
Illegal or fraudulent activity
Abuse or misuse of Services
Non-payment of fees
Business or operational reasons

17.2 Survival

Sections regarding Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination of these Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions remain in full effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies posted on our Services, constitute the entire agreement between you and Qiantian regarding the Services and supersede all prior understandings and agreements.
